1. Agreement in Regard to Your Use of This Site

Your use of this Site and related services and links are provided subject to your agreement to comply with the terms and conditions of this Terms and Conditions of Use Agreement, referred to from time to time as the "Agreement." In this Agreement, "DHS" means Danbury Health Systems, Inc., its affiliates and subsidiaries, including The Danbury Hospital, and their respective officers and directors, employees, staff, and agents.

You may use the Site, and the information, writings, images and/or other works that you see, hear or otherwise experience on the Site (singly or collectively, the "Content") solely for your non-commercial, personal purposes and/or to learn about DHS services and physicians. No right, title or interest in any Content is transferred to you, whether as a result of downloading such Content or otherwise. DHS reserves complete title and full intellectual property rights in all Content. Except as expressly authorized by this Agreement, you may not use, alter, copy, distribute, transmit, or derive another work from any Content obtained from the Site or the Service, except as expressly permitted by the Terms of Use.

2. Accuracy and Integrity of Information

Although DHS attempts to ensure the integrity and accurateness of the Site, it makes no guarantees whatsoever as to the correctness or accuracy of the Site. It is possible that the Site could include typographical errors, inaccuracies or other errors, and that unauthorized additions, deletions and alterations could be made to the Site by third parties. In the event that an inaccuracy arises, please inform DHS so that it can be corrected. Information contained on the Site may be changed or updated without notice.

3. No Medical Advice

This Site does not provide medical advice, including diagnosis. Nothing you learn on this Site should be considered to constitute medical advice. The medical/treatment related information you obtain from this Site might be inappropriate for your own situation, or might be misinterpreted. DHS assumes no responsibility for how you use the information you obtain from this Site. Although we strive to keep our information up to date, medical information changes rapidly, and some information may be out of date. 4. Confidential and Proprietary Information/Visitor Submissions

DHS does not want to receive confidential or proprietary information from you through the Site. Please note that any information or material sent to DHS through the Site, including E-mail and all data, images, sounds, text, and anything else (collectively "Communications") will be deemed not to be confidential. By sending DHS any Communications, you grant DHS an unrestricted, irrevocable, world-wide, royalty free license to use, reproduce, display, perform, modify, transmit, and distribute those Communications in and on all media now known or later developed, and you also agree that DHS is free to use any ideas, concepts, know-how, or techniques that you send to us for any purpose.

5. Visitor Chat Rooms and Other Interactive Areas

DHS may, but is not obligated to, monitor or review any areas of the Site where visitors such as you transmit or post Communications or communicate solely with each other, including, but not limited to, chat rooms, bulletin boards, and other user forums, and the content or any such Communications. You understand and agree that DHS will have no liability related to the content of any such Communications, whether or not arising under the laws of copyright, libel, privacy, obscenity, tort, contract, etc. DHS retains the right to remove, in its sole discretion, communications that include any material deemed abusive, defamatory, obscene, or otherwise inappropriate.

6. Caching

Web mirror sites, and commercial online services, may request written permission to cache this entire Site to their hard drives for the purpose of enabling people to access it more easily or view it more rapidly. Under no circumstances will they be granted the right to copy parts of the Site piecemeal, but only may copy the entire Site, preserving all the interior and exterior links, and not employing any of the materials out of their original context. For permission to "mirror" the site, please send an e-mail to DHS describing your request in detail.

The Site and the Content are protected by U.S. and/or foreign copyright laws, and belong to DHS or its Medical Staff, contributors or third parties. The copyrights in the Content are owned by DHS or other copyright owners who have authorized their use on the Site. You may download and reprint Content for non-commercial, non-public, personal use only. If you are browsing this Site as an employee or member of any business or organization, you may download and reprint Content only for educational or other non-commercial purposes within your business or organization, except as otherwise permitted by DHS; for example, in certain password-restricted areas of the Site and in our Frequently Asked Questions. With the exception of the Sample Images, you may not manipulate or alter in any way images or other Content on the Site.

8. LOGO and Trademarks

You are prohibited from using any of the marks or logos appearing throughout the Site without permission from the trademark owner, except as permitted by applicable law.

Persons constructing other Web sites may link to any of the pages on our Site. However, you may not link to isolated elements on this Site (including photographs, illustrations, diagrams, buttons, text, or any other elements whatsoever) for the purpose of "inlining" them into the context of other Web pages, or for linking such isolated elements to other Web pages. No oral or written information or advice by DHS or its affiliates or authorized representatives shall create a warranty or in any way increase the scope of this warranty.

11. Limitation of Liability.

DHS and its affiliates, suppliers, and other third parties mentioned on this site, are neither responsible nor liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages whatsoever (including, without limitation, those resulting from lost profits, lost data, or business interruption) arising out of or relating in any way to the site, site-related services and products, content or information contained within the site, and/or any hyperlinked web site, whether based on warranty, contract, tort, or any other legal theory and whether or not advised of the possibility of such damages. Your sole remedy for dissatisfaction with the site, site-related services, and/or hyperlinked web sites is to stop using the site and/or those services. Applicable law mat not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

12. Indemnification

You understand and agree that you are personally responsible for your behavior on the site or the behavior of persons under your control such as minor children. You agree to indemnify, defend and hold harmless DHS, its affiliates, subsidiaries, staff, business partners, licensors, employees, agents, and any third-party information providers to the service from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary, and indirect damages), and reasonable attorneys’ fees, resulting from or arising out of your use, misuse, or inability to use this site, the service, or the content, or any violation by you of this agreement.

13. No Third-Party Rights

The provisions of paragraphs 12, 13, and 14 of this Agreement (warranty disclaimer, limitation of liability, and indemnification), are for the benefit of DHS, its officers, directors, employees, staff, agents, suppliers, and Licensors. Each of these entities and individuals shall have the right to assert and enforce those provisions directly against you on its own behalf.

14. Enforcement / Choice of Law / Choice of Forum

If any part of this Agreement is determined by a court of competent jurisdiction to be invalid or unenforceable, it will not impact any other provision of this Agreement, which will remain in full force and effect. Any and all disputes relating to this Agreement, DHS's Privacy Policy, your use of the Site, the Service, or the Content are governed by, and will be interpreted in accordance with, the laws of the State of Connecticut, without regard to any conflict of laws provisions. All actions must be brought in a Court located in the County of Fairfield, State of Connecticut.

15. Entire Agreement

These Terms and Conditions of Use constitute the entire Agreement between you and DHS pertaining to everything set forth in these terms and conditions of use (in other words, the subject matter of this Agreement). In its sole discretion, DHS may from time-to-time revise these Terms and Conditions of Use by updating this posting. You should, therefore, periodically visit this page to review the current Terms and Conditions of Use, so you are aware of any such revisions to which you are bound. Certain provisions of these Terms and Conditions of Use may be superseded by expressly designated legal notices or terms located on particular pages within this site.
